Career Options After CS: Employment, Practice and Other Paths

Spread the love

A Company Secretary qualification opens two broad paths: employment, usually as the company secretary and compliance officer of a company, and practice, as an independent professional. Within and around these, there are several other roles where the knowledge of corporate law and governance is valued.

This article sets out the main career options after CS, and the points to weigh when choosing between them.

Employment

Under Section 203 of the Companies Act, 2013, listed companies and public companies with paid-up capital of ₹10 crore or more must appoint a whole-time Company Secretary as key managerial personnel. Under Rule 8A of the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014, other companies with paid-up capital of ₹10 crore or more must also have a whole-time Company Secretary. This creates steady demand for qualified members.

  • Company Secretary and compliance officer of a listed or unlisted company
  • Legal and secretarial teams in large groups, banks, NBFCs and insurance companies
  • Stock exchanges, depositories and registrars, and regulatory bodies
  • Corporate governance and ESG roles in listed companies

Practice

A member who obtains a Certificate of Practice can offer services independently or in a firm: incorporation, compliance, secretarial audit, certification, FEMA and foreign investment filings, due diligence, restructuring, and representation before the ROC, Regional Director and NCLT. See what a Practising Company Secretary does.

Practice offers independence and a wide range of work, but takes time to build. Many members gain a few years of experience in employment or with an established practitioner before starting on their own.
